FUNCTIONS AND DUTIES OF APFCB OFFICE BEARERS

1.PRESIDENT

The President shall act as Chairman at all Executive Board and Council Meetings. He/She or a designate shall represent the Federation in its dealings with outside organisations. The President or designate will be a member, ex-officio, of all Standing Committees of the Federation.

Duties of the President:

Chairs the Executive Board, Chairs Council meetings, Chairs meetings of APFCB with other organisations. Serves as APFCB representative to other organisations.

Signs contracts on behalf of APFCB, has co-signatory authority for APFCB cheques.

Has ultimate responsibility for managing affairs of APFCB and makes decisions together with the Executive Board.

May attend and participate in meetings of Committees and Working Groups of APFCB. Serves ex-officio as member of all Committees.

Assumes other responsibilities as assigned by Executive Board.

Has primary responsibility for ensuring smooth operation of APFCB and of setting its overall direction. Will need to correspond extensively with other organisations with which APFCB has relationships with representatives of Members of APFCB and with Chairs and members of APFCB operating units.

Together with the rest of the Executive Board, shall recruit new Corporate Members and new Ordinary and Affiliate members.

Serves as one of the signatories for banking related matters.

Organises meetings with Council at least twice per year.

Prepares an annual report to be circulated to all Ordinary, Affiliate and Corporate Members and IFCC.

President must have good communication skills and good command of the English language.

2.VICE PRESIDENT

The Vice-President shall deputise for the President in the latter’s absence.

Duties of the Vice President:

Serves as member of Executive Board and chairs the Executive Board in the absence of the President. Assumes all responsibilities of President in the absence of the President.

Is the most probable alternative to the President as representative of APFCB to other organisations.

Assume other responsibilities as assigned by the President and Executive Board.

Chairs the awards committee.

Obtains, together with the other Executive Board members, sponsorship for the establishment of new awards.

Draws up the guidelines for all awards. Partial funding shall also be considered in addition to full scholarships.

Together with the rest of the Executive Board, shall recruit new Corporate Members and new Ordinary and Affiliate members.

3.IMMEDIATE PAST PRESIDENT

The Immediate Past President shall provide assistance to the President and help with negotiations on behalf of the Federation.

Duties of the Immediate Past President:

Provides advice and continuity to the Executive Board regarding rules, regulations and appropriate past practices to assist the Executive Board in governing the APFCB. organisations.

Supports the President as and when necessary

Together with the rest of the Executive Board, shall recruit new Corporate Members and new Ordinary and Affiliate members.

Helps the President establish links between the APFCB and other organisations, both regional and international.

4.SECRETARY

The Secretary is a member of the Executive Board who shall keep all records, except financial records of the Federation and shall be responsible for their correctness. He/She will keep Minutes of all Executive Board and Council Meetings.

Duties of the Secretary:

Together with the President, develops agenda for Executive Board meetings and schedules these meetings.

Has primary responsibilities for ensuring implementation of Executive Board decisions.

Has primary responsibility for setting up meetings of APFCB Executive Board with representatives of other organisations and of members of actual or potential members of APFCB and developing agenda for such meetings and recording their minutes.

Develops agenda for, and records minutes of Council meetings, both when meetings are held physically, via e-mail or by virtual.

Prepares e-mail ballots and collates responses.

Assumes other responsibilities as assigned by President and Executive Board.

Correspondence with members of APFCB Member organisations, with members of APFCB operating units and other individuals. Must have excellent understanding and command of the English language. Must have access to good e-mail, telephone, fax and postal services.

Taking minutes at Executive Board meetings, Corporate Members meetings, meetings between IFCC and APFCB, ad hoc meetings.

Acts as Secretary to the Scholarship and Awards Committee.

Prepares and presents resolutions at the Council Meeting.

Prepares a nominations form for Chairs of Committees. Circulates these nominations form together with the consent form and information regarding nominee and what they intend to do for the relevant committees

Calls for nominations of committee membership of the various committees (3 members per committee other than the Chair. The Chair may appoint one member to be Secretary). The Chairs of Committees should decide who they want to be on their committees. The Chairs should then recommend to Executive Board the nominees they wish to have on their committees for final approval by Executive Board.

Update contacts of Ordinary members, Affiliate member(s) at regular intervals (at least 6 monthly intervals).

Manages the APFCB Secretariat.

Together with the rest of the Executive Board, shall recruit new Corporate Members and new Ordinary and Affiliate members.

5.TREASURER

The Treasurer shall keep an account of all monies collected and disbursed on behalf of the federation, and all other monetary transactions, and shall be responsible for their correctness. All monies will be deposited in an authorised bank, to be named by the Executive Board. Cheques for withdrawals from the bank will be signed by President and Treasurer or another member of the Executive Board. Two signatories are required.

Duties of the Treasurer:

Serves as a Member of Executive Board.

Prepares an annual budget in consultation with Executive Board and Chairs and monitor adherence of operating units of APFCB to their budgeted allocation.

Maintains detailed records of all transactions.

Corresponds with Members over financial matters.

Makes periodic recommendations to the Executive Board for changes in member dues and tiered subscriptions.

Maintains close liaison with the APFCB bank.

Receives requests for payments and authorises disbursements by APFCB bank.

Works with APFCB bank to optimise financial return on APFCB investments, subject to approval by the Executive Board.

Arranges audits with appointed auditors.

Assumes other relevant financial responsibilities as assigned by President and Executive Board.

Overall functions as chief financial advisor to Executive Board and APFCB.

Shall correspond with members of APFCB operating units in relation to reimbursement of expenses and with Chairs in relation to budgets.

Shall have good understanding of accounting principles and experience with budgets.

Must have access to good telephone, e-mail, fax and postal services and the internet.

Sends invoices annually to Corporate Members at the beginning of the calendar year and send reminders at three-monthly intervals if the subscription remains unpaid.

Sends invoices annually to Ordinary and Affiliate member associations at the beginning of the calendar year according to the tiered subscription rates and reminders at three-monthly intervals if the subscription remains unpaid.

Monitors the Philanthropic Fund which should continue to be kept as a separate account heading, together with the other signatories of the bank account.

Prepares an annual statement of accounts (simple two page profit/loss statement and assets, if any) for approval by Executive Board prior to circulation to Council members. The annual statement should be ready at the very latest end of March of the following year.

Prepares annual financial reports.

Prepares audited accounts to be presented to the Council annually.

Together with the rest of the Executive Board, shall recruit new Corporate Members and new Ordinary and Affiliate members.

6.CORPORATE REPRESENTATIVE

The Corporate Representative shall represent the views of the Corporate Members in the deliberations of the Executive Board

Duties of the Corporate Representative to the Executive Board:

Represents the Corporate Members, including presenting their views and concerns, to the Executive Board.

Conducts surveys amongst Corporate members and seek their views and opinions as and when necessary.

Conducts meetings (physically or virtually) with Corporate Members twice per year, where President and other members of the Executive Board may also attend.

Advises and helps the APFCB to add value to the Corporate Members.

Together with the rest of the Executive Board, shall recruit new Corporate Members and new Ordinary and Affiliate members.

Organises the meeting between the Executive Board and Corporate Members at the APFCB Congress, including the agenda.

Ensures that Corporate Members are privy to all relevant circulars.

Prepares sixth-monthly updates of the Corporate Members list
